Establishing a business in Jordan: a legal roadmap for foreign investors

A legal roadmap for choosing a Jordanian market-entry vehicle, screening foreign ownership, registering, licensing and preparing for operations.

1. Start with the activity, not the company name

The precise economic activity drives foreign-ownership analysis, minimum-capital questions, licensing authorities, premises requirements, staffing rules and potential incentives. Commercial descriptions used in a pitch deck may not match the classifications used by Jordanian authorities.

Before filing, prepare a short regulatory statement explaining what the business will sell, to whom, through which channel, where the work will be performed and whether the activity touches a regulated sector.

2. Select the correct market-entry vehicle

Common routes include incorporating a Jordanian company, registering an operating foreign company for a qualifying project or contract, and registering a non-operating foreign company or regional office. These structures serve different purposes and carry different restrictions, governance and reporting consequences.

  • A local limited-liability or shareholding structure may suit an operating business and local contracting.
  • An operating foreign company is generally tied to work it is permitted to carry out in Jordan and requires registration of the foreign entity.
  • A non-operating regional office is designed for activities conducted outside Jordan and is not a substitute for a local trading vehicle.

Do not choose a structure only because it is familiar in another jurisdiction. Choose it against Jordanian ownership, licensing, tax, governance and exit requirements.

3. Separate incorporation from operational permission

The Companies Control Department provides electronic company-registration services. Depending on the activity, the business may then need municipal, professional, environmental, construction, health, telecommunications, financial, tourism or other sector approvals.

The Ministry of Investment’s comprehensive services and licensing guide can help coordinate the government-facing path. The legal work is to establish which authority decides each item, the documents it requires, the order of filings and the conditions that continue after issuance.

4. Build a bankable document file

  • Certified constitutional documents and powers of attorney for foreign shareholders or parent companies.
  • Clear beneficial-ownership information and source-of-funds evidence.
  • Shareholder, governance and authorised-signatory arrangements that match the commercial deal.
  • A premises plan compatible with the licensed activity.
  • Employment, immigration, social-security, tax and invoicing readiness.
  • Contracts addressing Jordanian mandatory law, dispute resolution, enforcement and termination.

5. A disciplined sequence

The recommended sequence is: regulatory scoping; ownership and vehicle decision; name and constitutional documents; registration; banking and capital steps; premises; operational licences; tax and employment onboarding; contracts; and incentive implementation where applicable.

The sequence may change for regulated sectors or development-zone projects. Early legal coordination reduces duplicated filings and helps keep corporate records, bank documents and licence applications consistent.
